Terms of Service
1. Your agreement with us
These Terms of Service form an agreement between you and Webkonsulenterne A/S ("we", "us" or "our") when you create an account, accept an invitation or use Projectly. If you use Projectly for an organisation, you confirm that you are authorised to accept these terms for that organisation.
You must be at least 18 years old, or old enough to enter a binding agreement where you live. Mandatory rights that cannot lawfully be waived remain unaffected.
2. What Projectly provides
Projectly is a hosted task and project management service. It includes workspaces, projects, tasks, planning, comments, attachments, reminders, notifications, reporting, calendar feeds and optional AI and messaging integrations. Features may change as the product develops.
Projectly is currently offered free for personal and team use unless a separate written offer says otherwise. If paid plans are introduced, their price, billing period, renewal and cancellation terms will be shown before purchase; these terms do not authorise an undisclosed charge.
3. Accounts and workspaces
- Provide accurate account information and keep your password, recovery codes and integration tokens confidential.
- You are responsible for activity under your account and should tell us promptly if you suspect unauthorised access.
- Workspace owners and authorised administrators control membership and access. You are responsible for inviting the right people and assigning appropriate roles.
- Do not share an account between people or use another person's account without permission.
4. Your content
You retain ownership of the tasks, projects, comments, files and other content you submit to Projectly. You grant us a limited, worldwide licence to host, copy, process, transmit and display that content only as needed to operate, secure and improve the service and to follow your instructions.
You confirm that you have the rights and permissions needed to submit content and make it available to workspace members. You are responsible for your content, your workspace's use of it and any exports or calendar-feed links you share.
5. AI features and integrations
AI features are optional. When you use them, Projectly sends the prompt and relevant workspace context to the AI provider selected for your account or workspace. Output may be incomplete, inaccurate or unsuitable. Review it before relying on it, especially for legal, financial, medical, employment or other high-impact decisions.
You may connect third-party services such as Telegram, email delivery, calendar applications and an AI provider. Their own terms and privacy practices apply to their services. You authorise Projectly to exchange the information necessary to perform the connected feature. You can disconnect optional integrations from your settings or by revoking access with the provider.
6. Acceptable use
You may not use Projectly to:
- break the law, infringe another person's rights, harass people or distribute harmful or deceptive material;
- upload malware or content designed to disrupt, probe or gain unauthorised access to the service or another account;
- circumvent access controls, rate limits or security measures, or test vulnerabilities without our written permission;
- resell or provide the service as your own hosted product without our written agreement; or
- use automated traffic that materially degrades the service for others.
We may remove content or suspend access when reasonably necessary to address a serious or repeated breach, a security risk, unlawful activity or harm to other users. Where practicable, we will give notice and an opportunity to correct the issue.
7. Availability and changes
We operate Projectly with reasonable skill and care, but do not promise uninterrupted or error-free availability. Maintenance, security incidents, internet failures and third-party services can affect access. We may add, change or retire features. If a material change significantly reduces the core service, we will give reasonable notice where practicable.
8. Closing an account
You may stop using Projectly at any time and may delete your account from Settings. Workspace content shared with other members may remain where another member or organisation has an independent right to retain it. We may terminate an inactive free service or discontinue Projectly with reasonable advance notice where practicable.
We may suspend or terminate access immediately when necessary to protect the service or others, comply with law, or respond to a serious breach. Sections concerning ownership, liability, disputes and terms that by their nature should survive will remain in effect.
9. Our property
Projectly, its design, software, documentation, name and logo belong to us or our licensors. These terms give you a limited, non-exclusive, non-transferable right to use the service while your account remains active. They do not transfer our intellectual property to you.
10. Warranties and liability
Except for promises expressly made in these terms and rights required by law, Projectly is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Neither party is liable for indirect or consequential loss, including lost profit, revenue, goodwill or anticipated savings. To the extent permitted by law, our total liability arising from Projectly is limited to the greater of the amount you paid us for Projectly during the twelve months before the event giving rise to the claim and EUR 100. Nothing excludes liability that cannot lawfully be excluded, including liability for fraud or wilful misconduct.
11. Privacy
Our Privacy Policy explains what personal data we process, why we process it, who receives it and the choices and rights available to you. It forms part of these terms.
12. Governing law
These terms are governed by Danish law, excluding its conflict-of-law rules. Disputes are subject to the Danish courts, with venue at the court for our registered office. If you are a consumer, this does not deprive you of mandatory protections or a venue available under the law where you live.
13. Changes and contact
We may update these terms to reflect changes to Projectly, the law or our business. Material changes will be announced in the service or by email before they take effect where reasonably possible. The effective date and version appear at the top.
